While we implement industry-standard security measures, no system is completely immune to security breaches. Users are responsible for maintaining the confidentiality of their login credentials and reporting any suspected security incidents immediately.

All patient data stored in WardWiZ remains the property and responsibility of the healthcare institution or organisation using the System.

After accepting these Terms, you must register with us before you can use WardWiZ. You undertake to provide us with accurate information during registration and to keep this information updated and accurate at all times.

You warrant that you are a qualified healthcare professional, registered healthcare student, or authorised administrative staff member, registered and in good standing according to applicable law in your jurisdiction. Should you cease to be so registered or authorised, you must immediately cease to use WardWiZ.

We may verify your registration with relevant professional bodies or registration authorities. Your registration may be subject to administrator approval, and your account will only be activated after we have satisfied ourselves that you are authorised to access patient information in accordance with applicable healthcare and privacy laws.

You must keep your username and password safe to ensure that only you can use WardWiZ. You agree that usernames and passwords are issued for individual users only and that you must not share this information with anyone else. You are responsible for all activities that occur under your account.

If you think there are any possible issues regarding the security of your account, please inform us immediately so we may address it accordingly.

WardWiZ processes sensitive personal information of patients for healthcare purposes, and from time to time, this may include sensitive information relating to children under the age of 18 years.

You warrant and undertake that you have obtained the necessary consent for the processing of sensitive information from the parent or guardian where the patient is under the age of 18 years, and you indemnify us to the fullest extent permitted by law in this regard.

We reserve the right to request, at any time, that you furnish us with evidence of such consent having been obtained. If it is not reasonably practicable for you to obtain consent from a parent or guardian due to the minor being unaccompanied and the parent or guardian being unreachable, then you must receive consent from the guardian appointed to care for the child by the State.

Compliance with privacy law regarding children's information is primarily your responsibility as the healthcare professional providing the medical service to the patient.

POPIA sets out eight conditions for the lawful processing of personal information. We are committed to complying with these eight conditions:

• Condition 1 – Accountability: We comply with the eight conditions while conducting business that involves the processing of personal information;
• Condition 2 – Processing Limitation: We collect personal information directly from you with your informed and specific consent, unless the information is in the public domain;
• Condition 3 – Purpose Specification: Personal information is only collected for specific, defined, and lawful purposes related to providing WardWiZ services;
• Condition 4 – Further Processing Limitation: Any further processing of personal information is done in accordance with the conditions under which we initially collected such information;
• Condition 5 – Information Quality: We take reasonably practicable steps to ensure that personal information is complete, not misleading, updated, and accurate;
• Condition 6 – Openness: We retain documents containing personal information in accordance with applicable retention requirements. You have a right to know what personal information we have and for what purpose;
• Condition 7 – Data Security: We ensure that appropriate security measures, processes, and procedures are in place to protect against unlawful or unauthorised processing of personal information and accidental loss or damage;
• Condition 8 – Data Subject Participation: You may request access to any personal information held about you and ask for inaccurate data to be amended or deleted.

You, the user, are solely responsible for ensuring your use of WardWiZ complies with POPIA, the National Health Act, hospital/provincial/national IT governance policies, organisational data security regulations, and professional medical ethics. We provide WardWiZ as-is and take no responsibility for any unlawful, unauthorised, or non-compliant access to or use of patient information.

The System may include communication or notification functionality. Where used, related content may be processed as reasonably necessary to provide the service. You must ensure you have lawful authority and comply with applicable organisational policies before contacting any person through the System.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR DEVELOPERS, EMPLOYEES, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities;
• Medical malpractice, clinical errors, or adverse patient outcomes;
• Data breaches, unauthorized access, or security incidents;
• System downtime, service interruptions, or data loss;
• Errors, omissions, or inaccuracies in data or AI-generated content;
• Failure of third-party services or infrastructure;
• Regulatory fines, penalties, or compliance violations;
• Any other damages arising from your use or inability to use WardWiZ.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO YOUR USE OF WARDWIZ SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ZERO (0) IF YOU HAVE NOT PAID ANY AMOUNTS, WHICHEVER IS LESS.

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

WARDWIZ IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
• WARRANTIES THAT THE SYSTEM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR MALWARE;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA OR AI-GENERATED CONTENT;
• WARRANTIES THAT EXTERNAL SYSTEM INTEGRATIONS WILL FUNCTION PROPERLY OR BE AVAILABLE;
• WARRANTIES REGARDING COMPLIANCE WITH ANY PARTICULAR REGULATORY REQUIREMENTS OR STANDARDS.

We disclaim all warranties to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS US, OUR DEVELOPERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO:

• Your use or misuse of WardWiZ, including any prohibited activities set forth in Section 10;
• Any system abuse, unauthorized access attempts, automated access, or security violations;
• Your violation of these Terms of Use or any applicable laws or regulations;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any data you enter, upload, or transmit through WardWiZ;
• Clinical decisions, medical errors, or patient outcomes resulting from your use of the System;
• Unauthorized access to WardWiZ using your credentials;
• Your failure to comply with POPIA, the National Health Act, or other applicable regulations;
• Any breach of patient confidentiality or privacy resulting from your actions or omissions.

This indemnification obligation will survive the termination of these Terms and your use of WardWiZ.

All content, features, functionality, software, code, designs, graphics, logos, text, and other materials contained in or made available through WardWiZ (collectively, the "Content") are owned by us, our licensors, or other third parties and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use WardWiZ solely for your authorized clinical and administrative purposes. You may not:

• Copy, modify, distribute, sell, lease, sublicense, or create derivative works from any Content;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
• Use WardWiZ for any commercial purpose other than authorized clinical use.

All rights not expressly granted herein are reserved. Any unauthorized use of WardWiZ or its Content may violate intellectual property laws and result in termination of your access and potential legal action.

We reserve the right, in our sole discretion, to:

• Suspend or terminate your access to WardWiZ at any time, with or without cause, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraudulent activity, or security concerns;
• Modify, discontinue, or restrict access to any features or functionality of WardWiZ at any time;
• Delete or deactivate your account and all associated data if you violate these Terms or if your account remains inactive for an extended period;
• Block or restrict access from specific IP addresses, devices, or geographic locations.

You may terminate your use of WardWiZ at any time by: ceasing to use the System, deleting your account (if such functionality is available), or contacting us to request account deletion.

Upon termination, your right to access and use WardWiZ will immediately cease. We are not obligated to retain, provide, or return any of your data after termination, except as required by applicable law. Sections of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, Intellectual Property, and Governing Law) will survive.

WardWiZ may rely on or contain links to third-party services. These third-party services are not under our control, and we are not responsible for:

• The availability, accuracy, reliability, or functionality of third-party services;
• The content, privacy practices, or terms of service of third-party services;
• Any damages or losses resulting from your use of or reliance on third-party services;
• Changes to third-party interfaces, authentication methods, or service availability that may affect WardWiZ functionality.

Your use of third-party services is subject to their respective terms of service and privacy policies. We do not endorse, warrant, or assume responsibility for any third-party services, and your interactions with such services are solely between you and the third party.

While we implement industry-standard security measures, no system is completely immune to security breaches. In the event of a suspected or confirmed data breach or security incident:

• We will investigate the incident and take reasonable steps to mitigate any harm;
• We will comply with applicable data breach notification laws, including POPIA requirements, to the extent required;
• However, we are not obligated to provide individual notifications unless required by law;
• You acknowledge that we are not liable for any damages resulting from security breaches, including but not limited to unauthorized access, data loss, or identity theft.

You are responsible for maintaining the security of your login credentials and promptly reporting any suspected security incidents. We are not responsible for breaches resulting from compromised user credentials, weak passwords, or unauthorized access through your account.

We shall not be liable for any failure or delay in performance under these Terms that is due to causes beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, pandemics, or public health emergencies;
• War, terrorism, civil unrest, or government actions;
• Internet outages, cyberattacks, or infrastructure failures;
• Failures of third-party services, cloud providers, or infrastructure providers;
• Changes in laws, regulations, or regulatory requirements;
• Labor strikes, shortages, or other industrial actions.

In such events, we will use reasonable efforts to resume normal operations as soon as practicable.

We reserve the right to modify, update, or change these Terms of Use at any time, in our sole discretion. Material changes will be indicated by updating the "Last updated" date at the top of this document.

Your continued use of WardWiZ after any modifications to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must immediately discontinue use of WardWiZ and delete your account.

We are not obligated to provide individual notice of changes, though we may do so at our discretion. It is your responsibility to review these Terms periodically for any changes.

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any disputes, controversies, or claims arising out of or relating to these Terms or your use of WardWiZ shall be resolved as follows:

• First: The parties shall attempt to resolve the dispute through good faith negotiations for a period of thirty (30) days;
• Second: If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the Arbitration Foundation of South Africa (AFSA) rules, conducted in Cape Town, South Africa, in the English language;
• Exception: Either party may seek injunctive relief or other equitable remedies in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATIONS. Any claim must be brought within one (1) year of the event giving rise to the claim, or such claim is forever barred.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us. A waiver of any breach shall not constitute a waiver of any subsequent breach.

These Terms of Use, together with any additional terms and conditions we may provide for specific features or services, constitute the entire agreement between you and us regarding your use of WardWiZ and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter hereof.

No modification, amendment, or waiver of any provision of these Terms shall be effective unless in writing and signed by both parties, except as provided in Section 19 (Modifications to Terms).

You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. Any attempted assignment, transfer, or delegation without such consent shall be null and void.

We may assign, transfer, or delegate these Terms or any of our rights or obligations hereunder to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets, without your consent and without notice to you.

You acknowledge that WardWiZ may be subject to export control laws and regulations. You agree to comply with all applicable international and national export control laws and regulations, including but not limited to:

• South African export control regulations;
• Any other applicable international or national export restrictions or embargoes.

You agree not to export, re-export, or transfer WardWiZ or any related technology to any country, person, or entity subject to export restrictions or sanctions.

BY ACCESSING OR USING WARDWIZ, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE AND ALL APPLICABLE LAWS AND REGULATIONS.

By using WardWiZ, you:

• Represent that you are of legal age and have the authority to enter into these Terms (or, if using on behalf of an organization, that you have authority to bind that organization);
• Consent to the conditions described herein;
• Accept full responsibility for your use of the System and all data you enter or access;
• Agree to indemnify and hold us harmless as set forth in Section 13 (Indemnification);
• Acknowledge that you have reviewed and understand the limitations of liability set forth in Section 11;
• Consent to receiving all communications electronically as set forth in Section 30.

You have certain rights under data protection law, including POPIA, regarding your personal information. You may request that we:

• Confirm, free of charge, whether or not we hold any personal information about you;
• Provide you with a record of the personal information we hold about you, including information about third parties who have had access to your information;
• Correct, delete, or restrict the processing of your personal information where it is inaccurate, incomplete, or no longer necessary;
• Object to the processing of your personal information in certain circumstances.

These rights are limited in some situations, such as where we are legally required to process or store your data, and may limit your ability to use WardWiZ. To exercise any of these rights, please contact us using the contact information provided in Section 27.

We may require adequate proof of identity before processing any such request. We will respond to your request within a reasonable time and in a form that is understandable to you.

The personal information and patient information you provide to WardWiZ should be accurate, complete, and up-to-date. Should any information change, the onus is on you to notify us of the change and provide us with the accurate data.

Where indicated (for example in registration forms), it is obligatory for you to provide accurate information to enable us to create and operate your account. Should you decline, refuse, or neglect to provide such information, or provide inaccurate or incomplete information, we may not be able to process your account registration or provide you with our services.

You are responsible for ensuring that information you enter into WardWiZ is accurate, complete, and appropriate for its intended use.

We will retain your personal information and patient information:

• For achieving the purpose for which the information was collected;
• When retention of the record is required or authorised by law, including healthcare record retention requirements;
• For the record for lawful purposes related to our functions or activities;
• When retention of the record is required by a contract between the parties;
• For historical, statistical, or research purposes if we have established appropriate safeguards against the records being used for any other purposes.

Certain records may be retained for shorter or longer periods as reasonably necessary for operational, legal, or organisational requirements.

Patient information will be retained for at least the minimum length of time required by healthcare laws stipulating the retention periods for medical records. We may, notwithstanding the above criteria, retain information in a de-identified manner for a period we deem necessary.

The data we collect may be transferred outside of the Republic of South Africa. Personal information may be transferred to a third party outside of the Republic of South Africa provided that:

• The third party is subject to a law, binding corporate rules, or a binding agreement that seeks to protect the personal information in line with this Privacy Policy and applicable South African privacy laws;
• The transfer is necessary in order to provide the services that are required by you.

You may withdraw your consent to us processing your information across borders, however this may mean that we are no longer able to offer WardWiZ to you.

By using WardWiZ, you consent to the transfer, storing, and processing of your information and patient information by third-party hosting providers and service providers, which may be located outside of South Africa.

In order for WardWiZ to provide you with the agreed services, you accept and agree that:

• Any communications, agreements, notices, and/or any other documents relating to your account or your use of WardWiZ will be provided to you electronically by posting them on the WardWiZ platform, emailing them to the email address you have provided to us, or through any other form of electronic communication. You consent to receiving all communications electronically;
• You will at all times have available to you the necessary hardware and software to receive, access, and retain communications sent to you electronically, including a device with an internet connection and a valid and accessible email address;
• You assume full responsibility for providing us with a valid and accessible email address to which any communications may be sent, and for ensuring that the email address and any other contact information is kept up to date. Any communication sent to the email address you have provided to us will be deemed to have been received by you.

You may at any time withdraw your consent to receiving communications electronically by contacting us. You acknowledge that failure to give, or withdrawing, consent to receiving communications electronically may put the security of your account at risk should you not receive communications pertaining to your account security.

Care should always be taken in reviewing messages purporting to originate from WardWiZ. Should you have any uncertainty regarding the authenticity of any communication, please contact us immediately to verify the authenticity of such communication.
